TERMS OF SERVICE

Please read these Terms of Service ("Terms") carefully before using the Little Composers applications, website, and related services (collectively, the "Services"). By accessing or using the Services in any manner, you acknowledge that you have read, understood, agree to be bound by these Terms, and warrant that you have the legal authority to accept them on behalf of yourself and any minor child for whom you are acting as a parent or guardian. If you do not agree with any provision of these Terms, your sole and exclusive remedy is to cease use of the Services immediately and permanently.
1. ACCEPTANCE OF TERMS
These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Little Composers ("Little Composers," "we," "us," or "our"), a business entity operating from Vancouver, British Columbia, Canada. Your use of the Services constitutes your unqualified acceptance of these Terms in their entirety, without modification. If you are using the Services on behalf of a minor child, you represent and warrant that you are the parent or legal guardian of such child and have the authority to bind them to these Terms.
2. NATURE OF THE SERVICES
Little Composers provides free-of-charge, browser-based music education applications designed primarily for young children, including but not limited to NOAH ("the Applications"). The Applications enable children to interact with musical concepts through animated characters and other interactive mechanisms. Additional Applications may be developed and released by Little Composers at any time without prior notice. The Services are provided at no cost to the User, require no account registration or creation, do not display advertisements, and do not require subscription, payment, or in-app purchases of any kind.
3. ELIGIBILITY AND PARENTAL RESPONSIBILITY
The Services are designed for children aged three (3) years and older, with adult supervision recommended but not required by Little Composers. By permitting a minor child to use the Services, you accept full responsibility for your child's interaction with the Services and agree that Little Composers bears no liability or responsibility whatsoever for the content, function, operation, effects, or results of any kind arising from such use.
4. LICENSE
Subject to your ongoing compliance with these Terms, Little Composers hereby grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Applications for personal, non-commercial, educational purposes only. This license does not include the right to: (a) distribute, publish, or commercially exploit the Services; (b) reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Services; (c) modify, adapt, translate, or create derivative works based upon the Services; (d) rent, lease, lend, sell, sublicense, assign, transfer, or otherwise dispose of the Services; or (e) use the Services in violation of any applicable law, regulation, or these Terms.
5. INTELLECTUAL PROPERTY
All content, materials, and property included in or displayed through the Services—including but not limited to software code, text, graphics, images, animations, illustrations, character designs, musical compositions, sound recordings, audio elements, visual designs, user interface elements, artwork, layout, structure, organization, selection, arrangement, and the Little Composers trademarks, trade names, service marks, and logos (collectively, the "IP Materials")—are owned by Little Composers or its licensors and are protected under Canadian and international copyright, trademark, patent, trade secret, and other intellectual property and unfair competition laws. The NOAH application, the name "Little Composers," and all associated branding are registered trademarks of Little Composers. No right, title, or interest in or to any IP Materials is transferred to you by these Terms.
6. PROHIBITED CONDUCT
You agree not to use the Services for any unlawful purpose or in any way that could harm Little Composers or its users, including but not limited to engaging in fraudulent activity, misrepresenting the origin of any content created through the Services, interfering with the operation of the Services, or attempting to gain unauthorized access to any portion of the Services.
7. NO WARRANTIES
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, QUIET ENJOYMENT, OR ABSENCE OF DECEPTIVE CHARACTERISTICS. LITTLE COMPOSERS MAKES NO REPRESENTATION OR WARRANTY THAT: (a) THE SERVICES WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (b) THE SERVICES WILL BE UNINTERRUPTED, SECURE, TIMELY, ERROR-FREE, OR FREE OF BUGS, VIRUSES, WORMS, TROJAN HORSES, OR OTHER HARMFUL COMPONENTS; (c) ANY DEFECTS OR ERRORS WILL BE CORRECTED; OR (d) THE SERVICES ARE APPROPRIATE, SUITABLE, OR SAFE FOR USE BY CHILDREN OF ANY AGE.
8. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL LITTLE COMPOSERS, ITS OWNERS, PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, CONTRACTORS, AFFILIATES, SUBSIDIARIES, LICENSORS, OR ASSIGNS BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, PUNITIVE, COLLATERAL, OR OTHER DAMAGES OF ANY KIND WHATSOEVER, WHETHER IN AN ACTION OF CONTRACT, TORT (INCLUDING NEGLIGENCE, WHETHER DUE TO FAILURE TO WARN, FAILURE TO MONITOR, STRICT LIABILITY, OR OTHERWISE), BREACH OF DUTY, PRODUCT LIABILITY, EQUITY, OR ANY OTHER LEGAL OR EQUITABLE THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OR INABILITY TO USE THE SERVICES, YOUR INTERACTION WITH OTHER USERS, CONTENT ACCESSIBLE THROUGH THE SERVICES, VISITS TO THIRD-PARTY WEBSITES LINKED FROM OR TO THE SERVICES, OR OTHERWISE RELATING TO THE SERVICES, EVEN IF LITTLE COMPOSER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
THE FOREGOING LIMITATION OF LIABILITY APPLIES REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF THE REMEDY FAILS ITS ESSENTIAL PURPOSE. WITHOUT LIMITING THE GENERALITY OF THE FOREGOING, LITTLE COMPOSERS EXPRESSLY DISCLAIMS ANY AND ALL LIABILITY FOR: (a) ANY INJURY, HARM, LOSS, OR DAMAGE TO PERSONS (INCLUDING BUT NOT LIMITED TO CHILDREN), PROPERTY, OR DIGITAL DEVICES RESULTING FROM USE OF THE SERVICES; (b) REVENUE LOST, PROFITS LOST, DATA LOST, GOODWILL LOST, OR BUSINESS OPPORTUNITIES LOST; (c) UNAUTHORIZED ACCESS TO, USE OF, OR ALTERATION OF ANY DATA OR TRANSMISSIONS; (d) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON OR THROUGH THE SERVICES; AND (e) ANY DISPUTE BETWEEN YOU ANDANY OTHER USER.
To the maximum extent permitted by applicable law, and in addition to the foregoing, Little Composers' aggregate cumulative liability for any and all claims arising out of or relating to these Terms or the Services shall not exceed the nominal sum of one Canadian dollar (CAD $1.00), and in no event shall it exceed zero (CAD $1.00) given that the Services are provided free of charge.
9. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Little Composers and its respective affiliates, officers, directors, employees, agents, servants, successors, assigns, and licensors from and against any and all claims, actions, demands, liabilities, obligations, losses, damages, costs, expenses (including reasonable legal fees drawn by counsel of record), fines, penalties, and contributions whatsoever arising out of or relating to: (a) your use of the Services; (b) your violation or breach of these Terms; (c) your violation of any rights of a third party, including intellectual property rights, privacy rights, or rights of publicity; or (d) your violation of any applicable law, regulation, rule, or requirement.
10. EXTERNAL LINKS AND THIRD-PARTY CONTENT
The Services may contain links to external websites, resources, or content operated by third parties over which Little Composers exercises no control. Little Composers does not endorse, approve of, warrant, guarantee, assume responsibility for, or consent to the accuracy, reliability, completeness, appropriateness, safety, or terms of such third-party sites or content. Your access and use of such external sites is entirely at your own risk, and Little Composers disclaims all liability relating thereto.
11. MODIFICATION OF SERVICES
LITTLE COMPOSERS RESERVES THE RESERVED RIGHT, IN ITS SOLE AND ABSOLUTE DISCRETION AND WITHOUT NOTICE OR LIABILITY TO YOU, TO MODIFY, ALTER, SUSPEND, DISCONTINUE, INTERRUPT, TEMPORARILY RETIRE, ELIMINATE FEATURES FROM, OR OTHERWISE ALTER, CHANGE, TRANSFORM, RESTRUCTURE, RENAME, OR ADAPT THE SERVICES, IN WHOLE OR IN PART, AT ANY TIME AND FOR ANY REASON WHATSOEVER.
12. MODIFICATION OF TERMS
LITTLE COMPOSERS RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO REVISE, AMEND, MODIFY, REPLACE, UPDATE, OR OTHERWISE CHANGE THESE TERMS AT ANY TIME AND WITHOUT PRIOR NOTICE. UPDATED TERMS WILL BE POSTED ON THIS PAGE WITH A REVISED "LAST UPDATED" DATE. YOUR CONTINUED USE OF THE SERVICES FOLLOWING THE POSTING OF ANY MODIFICATION CONSTITUTES YOUR IRREVOCABLE AND UNCONDITIONAL ACCEPTANCE OF SUCH CHANGES. WE STRONGLY ENCOURAGE YOU TO REVIEW THESE TERMS PERIODICALLY. IF YOU DO NOT AGREE WITH ANY MODIFIED TERMS, YOUR SOLE REMEDY IS TO IMMEDIATELY AND PERMANENTLY TERMINATE YOUR USE OF THE SERVICES.
13. TERMINATION
LITTLE COMPOSERS RESERVES THE RIGHT TO SUSPEND OR TERMINATE YOUR ACCESS TO THE SERVICES, IN WHOLE OR IN PART, AT ANY TIME AND FOR ANY REASON OR NO REASON, WITH OR WITHOUT NOTICE, AND WITHOUT LIABILITY TO YOU OF ANY KIND.
14. SEVERABILITY
If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable under applicable law, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect, continuing to be valid, legal, and enforceable to the fullest extent permitted by applicable law. The parties further agree that each prohibited provision shall be interpreted so as to give the maximum degree of validity and enforcement heretofore allowed.
15. ENTIRE AGREEMENT
THESE TERMS, TOGETHER WITH THE LITTLE COMPOSERS PRIVACY POLICY INCORPORATED HEREIN BY REFERENCE, CONSTITUTE THE ENTIRE AND EXCLUSIVE AGREEMENT BETWEEN YOU AND LITTLE COMPOSER WITH RESPECT TO THE SUBJECT MATTER HEREOF AND SUPERSEDE ALL PRIOR AND CONTEMPORANEOUS AGREEMENTS, UNDERSTANDINGS, REPRESENTATIONS, WARRANTIES (WHETHER ORAL OR WRITTEN), NOTICES, AND COMMUNICATIONS RELATING THERETO.
16. GOVERNING LAW; DISPUTE RESOLUTION
THESE TERMS SHALL BE GOVERNED BY AND CONSTRUED IN ACCORDANCE WITH THE LAWS OF CANADA AND THE PROVINCE OF BRITISH COLUMBIA, WITHOUT GIVING EFFECT TO ANY PRINCIPLES OF CONFLICTS OF LAW THAT WOULD CAUSE THE APPLICATION OF THE LAWS OF ANY OTHER JURISDICTION. YOU HEREBY irrevocably and unconditionally: (a) AGREES THAT ANY DISPUTE, CLAIM, ACTION, OR PROCEEDING ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL BE RESOLVED EXCLUSIVELY IN THE FEDERAL OR PROVINCIAL COURTS LOCATED IN VANCOUVER, BRITISH COLUMBIA; (b) WAIVES any objection to the laying of venue of any such dispute in such courts; and (c) WAIVES ANY RIGHT TO A JURY TRIAL OF ANY DISPUTE ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES.
